Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and BuildUX Inc., a Delaware C-Corporation doing business as Amedeo.ai ("Company," "we," "our," or "us"), governing your access to and use of the Amedeo.ai platform, website, pipeline, and all related services (collectively, the "Services").

By accessing the Amedeo.ai website, creating an account, submitting a Pipeline Run, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, Cookie Policy , and Acceptable Use Policy, each of which is incorporated herein by reference.

If you are using the Services on behalf of an organizationor company, you represent and warrant that you have authority to bind that organization to these Terms, and that "you" in these Terms refers to both you as an individual and the organization you represent.

If you do not agree to these Terms, you must not access or use the Services.

Description of Services

Amedeo.ai is an AI Decision Intelligence platform that analyzes a product's website, user feedback, and market context to generate structured recommendations on which AI capabilities to build, how to build them, for whom, and in what sequence. The Services include a 17-stage automated analysis pipeline, AI-generated reports, prototype mockups, and related materials (collectively, "Output Data").

The Services are intended for software product teams who seek to understand how AI can be meaningfully integrated into their products. Amedeo outputs are informational and analytical in nature. They do not constitute legal, financial, technical, or investment advice.

We reserve the right to modify, update, suspend, or discontinue any part of the Services at any time with reasonable notice. We will not be liable for any modification, suspension, or discontinuation of the Services, except as expressly stated in these Terms.

Eligibility

To access and use the Services, you must be at least 18 years of age. By using the Services, you represent and warrant that you meet this age requirement. The Services are not directed to or intended for individuals under the age of 18, and we do not knowingly collect Personal Data from minors.

The Services are currently offered to individuals and companies globally, with a primary focus on US-based markets. Users in all jurisdictions are responsible for ensuring that their use of the Services complies with applicable local laws and regulations.

Account Registration

To submit a Pipeline Run or access personalized features, you must create an account by providing accurate, current, and complete information. You agree to update your account information promptly if it changes.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at legal@buildux.com if you suspect any unauthorized access to or use of your account. We will not be liable for any loss or damage arising from unauthorized use of your account.

You may not create more than one account for the purpose of circumventing usage limits, promotional pricing, or access restrictions. We reserve the right to terminate duplicate or fraudulently created accounts without notice.

License to Use the Services

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your internal business or personal purposes.

This license does not permit you to:

1. Resell, sublicense, or commercially exploit the Services or any Output Data on behalf of third parties without our written consent
2. Use the Services to build a competing product or service that replicates the core functionality of Amedeo's AI Decision Intelligence platform
3. Access the Services by automated means (bots, scrapers, crawlers) without our express written authorization
4. Reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying methodology of the Services

All rights not expressly granted in these Terms are reserved by BuildUX Inc.

User Content and Input Data

When you submit a Pipeline Run, you provide Input Data — which may include a product name, website URL, uploaded documents, user feedback files, and other materials ("User Content"). You retain full ownership of all User Content you submit.

By submitting User Content, you grant BuildUX Inc. a limited, non-exclusive, worldwide, royalty-free license to access, use, process, and transmit your User Content solely to the extent necessary to provide the Services — including transmitting Input Data to our AI Sub-Processors (Anthropic, OpenAI, Google) to execute your Pipeline Run — and to improve our Services as described in our Privacy Policy, subject to your opt-out rights.

You represent and warrant that: (a) you own or have all necessary rights and consents to submit the User Content; (b) your User Content does not violate any third-party intellectual property rights, privacy rights, or applicable law; and (c) if your User Content contains Personal Data of third parties, you have obtained all necessary consents and have lawful grounds to process such data.

You are solely responsible for the accuracy, legality, and appropriateness of User Content you submit. Do not upload content that is confidential, legally privileged, or subject to secrecy obligations with third parties unless you are authorized to process such content via our Services.

Output Data and Ownership

Subject to your compliance with these Terms and payment of applicable fees, you own the Output Data generated specifically for your Pipeline Run. You may use Output Data for internal business purposes, product planning, investor presentations, team communications, and other reasonable business uses.

You may not publicly attribute Output Data to Amedeo.ai in a misleading manner or present AI-generated analysis as your own original research without appropriate disclosure. You may not publish, distribute, or sublicense Output Data in a manner that competes with or substitutes for the Services.

We retain the right to use anonymized, aggregated, or de-identified insights derived from Pipeline Runs to improve our pipeline methodology, publish industry-level findings, and develop product features, consistent with our Privacy Policy.

Output Data is provided for informational purposes only and does not constitute legal, financial, engineering, or business advice. We expressly disclaim all liability for decisions made on the basis of Output Data. See Section 12 (Disclaimers of Warranty) and Section 13 (Limitation of Liability).

Fees, Payment, and Subscriptions

Access to certain features of the Services requires payment of fees. Current pricing is communicated to you directly via our outreach, demo booking process, or account dashboard. All fees are stated in US Dollars unless otherwise noted.

By initiating a paid Pipeline Run or subscribing to a paid plan, you authorize us to charge the applicable fees to your designated payment method via our third-party payment processor. All fees are due at the time of purchase unless otherwise agreed in writing.

Fees are non-refundable except as expressly stated in our Cancellation and Refund Policy, which is incorporated into these Terms by reference. We reserve the right to change our pricing at any time with 14 days' advance notice to registered users.

If your payment fails, we reserve the right to suspend or restrict access to the Services until payment is successfully completed. You are responsible for maintaining accurate and current billing information in your account.

Prohibited Conduct

You agree not to use the Services in any manner that violates our Acceptable Use Policy, which is incorporated into these Terms. Without limiting the foregoing, you specifically agree not to:

1. Submit false, misleading, or fraudulent information as Input Data
2. Upload content that infringes, misappropriates, or violates any third party's intellectual property, privacy, or contractual rights
3. Use the Services to generate content that is deceptive, defamatory, harassing, or harmful to any person or entity
4. Attempt to gain unauthorized access to any part of the Services, our infrastructure, or the accounts of other users
5. Interfere with or disrupt the integrity, performance, or security of the Services
6. Use the Services in violation of any applicable law, regulation, or export control restriction
7. Circumvent any technical measures we use to protect the Services
8. Use Output Data to train, fine-tune, or evaluate any AI model without our express written consent

We reserve the right to investigate and take appropriate action against violations, including suspending or terminating your account, removing User Content, and referring matters to law enforcement authorities where warranted.

Intellectual Property

The Services, including the Amedeo.ai platform, website, pipeline methodology, design, software, trademarks, trade names, logos, and all content we create (excluding User Content and Output Data assigned to you) are owned by or licensed to BuildUX Inc. and are protected by US and international intellectual property laws.

"Amedeo," "Amedeo.ai," "BuildUX," and "BuildUX Inc." and associated logos are trademarks or trade names of BuildUX Inc. You may not use our trademarks without our prior written consent. Nothing in these Terms transfers any intellectual property rights in the Services or our proprietary methodology to you.

If you provide us with feedback, suggestions, or ideas about the Services ("Feedback"), you grant us a perpetual, irrevocable, royalty-free license to use that Feedback for any purpose, including incorporating it into the Services, without any obligation of compensation or attribution to you.

Third-Party Services and AI Providers

The Services rely on third-party AI infrastructure providers including Anthropic, Inc. (Claude API), OpenAI, LLC (GPT API), and Google LLC (Gemini API), as well as cloud infrastructure provided by Amazon Web Services. The availability, performance, and accuracy of our Services may be affected by the performance, terms, and limitations of these third-party providers.

By using the Services, you acknowledge that your Input Data will be processed by our AI Sub-Processors as described in our Privacy Policy. You agree that we are not responsible for the acts or omissions of these providers beyond our contractual obligations to ensure appropriate data processing agreements are in place.

We may integrate additional or alternative AI providers in the future. Material changes to our AI infrastructure that could affect your data or the quality of the Services will be communicated to registered users in advance.

Disclaimers of Warranty

The services and all output data are provided “as is” and “as available” without warranty of any kind, express or implied. To the maximum extent permitted by applicable law, Buildux Inc. expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not warrant that the services will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or suitability of any output data for your particular business needs. AI-generated content may contain errors, hallucinations, or outdated information. You assume full responsibility for your use of and reliance on any output data.

Limitation of Liability

To the maximum extent permitted by applicable law, Buildux Inc. and its officers, directors, employees, agents, partners, and suppliers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, business interruption, or cost of substitute services, arising out of or in connection with your use of or inability to use the services, even if we have been advised of the possibility of such damages.

In no event shall BuildUX Inc.'s total aggregate liability to you for all claims arising out of or relating to these Terms or the Services exceed the greater of: (a) the total fees you paid to us in the twelve months preceding the event giving rise to the claim, or (b) USD $100.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. To the extent such limitations are not permitted in your jurisdiction, the above limitations apply to the fullest extent permitted by law.

Indemnification

You agree to defend, indemnify, and hold harmless BuildUX Inc. and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of or access to the Services; (b) your User Content; (c) your violation of these Terms; (d) your violation of any third-party rights, including intellectual property or privacy rights; or (e) your violation of any applicable law or regulation.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you agree to cooperate with our defense of such claim.

Term and Termination

These Terms remain in effect for as long as you use or have access to the Services. Either party may terminate this agreement at any time: you, by closing your account and ceasing use of the Services; and we, by providing notice to you and disabling your access.

We may suspend or terminate your access immediately, without prior notice or liability, if: (a) you breach any provision of these Terms or our Acceptable Use Policy; (b) we are required to do so by law; (c) we determine in our reasonable discretion that your use of the Services poses a legal, security, or reputational risk to us or other users; or (d) we discontinue the Services.

Upon termination, your license to use the Services immediately ceases. Sections 6, 7, 10, 12, 13, 14, 16, and 17 survive termination of these Terms. Termination does not relieve you of any obligation to pay outstanding fees.

Dispute Resolution and Arbitration

We encourage you to contact us first at legal@buildux.com if you have a concern or dispute regarding the Services, as many disputes can be resolved informally.

If a dispute cannot be resolved informally, you and BuildUX Inc. agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction for claims involving intellectual property or unauthorized use of the Services.

Class Action Waiver: You and BuildUX Inc. each waive the right to a jury trial and the right to participate in any class action, class arbitration, or representative proceeding. All claims must be brought in your individual capacity only.

Opt-Out Right: You may opt out of the arbitration provision by sending written notice of your decision to opt out to legal@buildux.com within 30 days of first creating your account or agreeing to these Terms. If you opt out, neither party will be bound by the arbitration provisions above, but the class action waiver will still apply.

Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law provisions. For any disputes not subject to arbitration under Section 16, you consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of Delaware.

If you are a consumer located in a jurisdiction where applicable law does not permit the foregoing choice of law or jurisdiction, the mandatory consumer protection laws of your jurisdiction may apply to the extent they provide greater protection than Delaware law.

General Provisions

Entire Agreement: These Terms, together with the Privacy Policy, Cookie Policy, Acceptable Use Policy, and Cancellation Policy, constitute the entire agreement between you and BuildUX Inc. with respect to the Services and supersede all prior agreements and understandings.

Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any provision of these Terms is not a waiver of our right to do so in the future.

Assignment: You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign these Terms and our rights hereunder at any time without restriction.

Notices: We will provide notices to you via email to the address registered to your account. You may provide notices to us at legal@buildux.com or at our registered agent address.

Force Majeure: We will not be liable for any failure or delay in performance arising from causes beyond our reasonable control, including acts of God, internet or infrastructure outages, war, terrorism, pandemic, government action, or failure of third-party service providers.

Updates to These Terms: We may update these Terms from time to time. We will notify you of material changes via email and by posting the updated Terms on our website. Continued use of the Services after the effective date of the updated Terms constitutes your acceptance.
